General Terms and Conditions
1. Applicability
All deliveries by AUTOM8 PRINT LIMITED are subject to the general terms and conditions of sale mentioned below. Any departure from these conditions must be agreed in writing and is subject to the explicit acceptance of autoM8 Print Limited.
Each order placed by the client automatically implies acceptance of these general terms and conditions of sale, unless explicitly stated otherwise in writing, and to the exclusion of the application of the client’s own general terms and conditions of purchase and/or sale.
2. Delivery
Any stated delivery period is an indication only and does not constitute a binding obligation. Under no circumstances shall the buyer have the right to claim any damages, or to dissolve or terminate the agreement, in the event that the indicated delivery time is not respected.
The goods are transported at the buyer’s risk and expense, regardless of the mode of transport used and regardless of the place where the order was placed. Any express delivery costs are always at the buyer’s expense.
3. Invoices and Payment Terms
Invoices issued by AUTOM8 PRINT LIMITED are, by default, payable 30 days after the invoice date, unless otherwise stipulated in the relevant quote or contract.
The payment term of 30 days, as stipulated in these general conditions of AUTOM8 PRINT LIMITED, takes precedence over any differing payment terms of the customer.
Dispatch (including electronic dispatch) of the invoice is considered proof of notice.
If the invoice is not paid by the due date, the amount due becomes immediately and fully payable by operation of law, without the need for formal notice. Interest may be charged at a rate of 2% per month on the overdue amount.
In the event of non-payment, even partial, a compensation for recovery costs of 15% of the amount due will be charged, subject to a minimum of £125.00, to cover the damages suffered as well as any internal and external recovery costs.
4. Warranty and Liability
For all products delivered by AUTOM8 PRINT LIMITED, the warranty corresponds to the specifications and warranty conditions provided by the relevant suppliers of AUTOM8 PRINT LIMITED.
During the warranty period, the buyer is responsible for returning any defective material to the registered office or designated service location of AUTOM8 PRINT LIMITED.
AUTOM8 PRINT LIMITED is under no obligation to carry out repairs at the client’s premises unless the client has entered into a separate service agreement providing for on-site services.
autoM8 Print Limited is not responsible for the reconstruction or loss of data or information. The client is solely responsible for ensuring appropriate back-ups and protection of all data.
Any unauthorised alteration or modification to any of our products will automatically void the warranty.
In the event of latent or hidden defects, the liability of autoM8 Print Limited is limited either to the repair of the defective product or to its replacement within a reasonable period.
AUTOM8 PRINT LIMITED will not, in any circumstances, be liable for any indirect, consequential, or special loss or damage, including but not limited to loss of profit, loss of business, loss of data or damage to third-party property arising from the use of the product.
5. Returns and Restocking
In the event that AUTOM8 PRINT LIMITED approves the return of goods, a restocking fee of 10% of the invoiced amount will be charged.
6. Cancellations
Cancellation of orders by the customer within the two weeks prior to delivery of goods, software licences or the start of a project will result in a cancellation charge of 50% of the total order value.
Cancellation by the customer more than two weeks prior to delivery will result in a cancellation charge of 30% of the total order value.
7. Protests and Claims
Any protest or dispute regarding the delivery is only considered valid if made in writing by recorded/registered mail (or another verifiable written method agreed by both parties) within eight days of the date of delivery.
The same term applies in the event of any damage, which must be notified to AUTOM8 PRINT LIMITED in writing within eight days of its occurrence.
In the absence of such timely, written notice, any protest or damage claim will be deemed not to exist.
8. Place and Method of Payment
Invoices are payable at the registered office of AUTOM8 PRINT LIMITED in the United Kingdom or to such bank account as AUTOM8 PRINT LIMITED may specify.
Payment by cheque, bill of exchange or any other instrument of payment is only valid upon cleared funds being received into the nominated bank account and does not constitute novation or renewal of the original debt.
Our representatives are not authorised to accept payment of our invoices in cash or to sign valid receipts for payment, unless expressly authorised in writing.
9. Software and Licencing
As a result of tests, demonstrations, or other operations, a copyright-protected software program may be installed on a product.
If such a program is inadvertently left on the machine, the client is obliged to promptly notify the management of AUTOM8 PRINT LIMITED and to delete or uninstall the program, or to ensure a valid licence is obtained.
In default thereof, the client shall be liable to pay the applicable licence fees.
10. Retention of Title and Risk
Notwithstanding delivery and the passing of risk, legal and beneficial title to the goods shall remain with autoM8 Print Limited until the day on which the total purchase price and any applicable interest and/or compensation for damages have been paid in full.
Until title passes, the client shall hold the goods as bailee for AUTOM8 PRINT LIMITED and shall keep them properly stored, protected and insured, and identifiable as the property of AUTOM8 PRINT LIMITED.
If payment is made by cheque, bill of exchange or similar instrument, the transfer of title will only take effect after final and unconditional clearance of the funds into the bank account of AUTOM8 PRINT LIMITED.
Risk in the goods, however, passes to the client as soon as the goods have left our premises or nominated warehouse.
11. Governing Law and Jurisdiction
Any dispute arising between the parties, as well as any commercial transaction involving autoM8 Print Limited, shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms and conditions or any contract incorporating them.
